**End User License Agreement (EULA) for Accessing Stella Venue Quote API**

**1. Introduction**

The API and all related intellectual property rights are and remain the exclusive property of Stella Venue. You acknowledge that you have no right, title, or interest in or to the API, except the limited license expressly granted to you under this EULA.

**5. Data Privacy**

By using the API, you agree to the collection and use of information as outlined in Stella Venue’s Privacy Policy, which is hereby incorporated by reference into this EULA.

**6. Termination**

Stella Venue reserves the right to revoke your license granted under this EULA and terminate this agreement at any time for any reason. Upon termination, you must immediately cease use of the API and destroy all copies of the API and any associated documentation.

**7. Warranties and Disclaimers**

The API is provided “as is” without warranty of any kind. Stella Venue expressly disclaims all warranties, whether express, implied, or statutory, regarding the API, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

**8. Limitation of Liability**

To the maximum extent permitted by law, in no event shall Stella Venue be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use the API.

**9. Indemnification**

You agree to indemnify, defend, and hold harmless Stella Venue and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys’ fees), that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of this EULA.

**10. Governing Law**
